Coca-Cola is moving closer to what could become one of India’s most closely watched consumer-sector IPOs, with its Indian bottling business Hindustan Coca-Cola Holdings (HCCH) being prepared for a potential stock-market listing in 2027. The proposed offering could raise around $1 billion, while the company is reportedly targeting a valuation of approximately $10 billion.

The latest development is particularly significant because Bloomberg reported on September 30 that Coca-Cola is considering filing its draft prospectus in December 2026. The proposed issue is expected to consist largely of shares sold by existing investors rather than a large fresh capital raise. However, the timeline, valuation and final structure remain under discussion and could change before any formal filing.

Coca-Cola itself has already confirmed that it is preparing for a potential 2027 listing on the BSE and NSE, subject to market conditions and regulatory approvals.

Which Company Will Be Listed?

The proposed IPO involves Hindustan Coca-Cola Holdings Pvt. Ltd., the parent company of Hindustan Coca-Cola Beverages Pvt. Ltd. (HCCB).

HCCB is Coca-Cola’s largest bottling operation in India. It manufactures, distributes and sells beverages including Coca-Cola, Thums Up, Sprite, Fanta and other brands across the Indian market.

The business was established in 1997 and operates 14 bottling plants across 10 states, according to Reuters. Coca-Cola currently owns 60% of Hindustan Coca-Cola Holdings, while the remaining 40% is owned by the Jubilant Bhartia Group following a transaction completed in 2025.

This structure means the IPO would provide public-market investors with exposure to one of the country’s largest beverage-bottling networks while allowing existing shareholders to sell part of their holdings.

$1 Billion IPO Could Value the Business at $10 Billion

The proposed size of approximately $1 billion would make the Coca-Cola India bottling IPO one of the major consumer-sector offerings currently being prepared for India’s capital markets.

Bloomberg’s latest report said Coca-Cola is seeking a valuation of about $10 billion for the business. At the same time, the company is expected to sell a portion of its existing stake through the offering.

Importantly, the $1 billion figure is not yet an officially finalised IPO size. Coca-Cola has confirmed the potential listing, but the final number of shares, price band, valuation, offer-for-sale component and other details will only become clearer through the formal IPO process.

The current reports therefore represent preliminary plans rather than final IPO terms.

Coca-Cola Plans to Sell Part of Its Stake

The potential IPO is also part of Coca-Cola’s broader strategy of reducing its direct ownership of capital-intensive bottling operations.

In June 2026, Coca-Cola officially announced that it was exploring a potential public listing of HCCH and the sale of a portion of its shareholding in connection with the listing.

Coca-Cola said it intends to remain invested in the Indian bottling business while focusing on expanding its global and local beverage brands in India.

The potential transaction follows Coca-Cola’s 2025 agreement under which the Jubilant Bhartia Group acquired a 40% stake in HCCH. Coca-Cola retained the remaining 60%.

This means the proposed IPO could further broaden the ownership base of the bottling business without Coca-Cola completely exiting the company.

Major Investment Banks Are Already Involved

The IPO preparation has gathered significant investment-banking support.

Reuters reported in July that JPMorgan and Citi had been appointed as bankers for the planned 2027 IPO. The same report said Kotak Mahindra Capital and Morgan Stanley had also been appointed.

The latest Bloomberg report adds Axis Capital and IIFL Capital Services to the group of banks working on the transaction. Coca-Cola is also working with Kotak Mahindra Capital, Citigroup, JPMorgan and Morgan Stanley, according to the report.

Coca-Cola has separately retained Rothschild & Co as an adviser for the potential listing.

The involvement of several major investment banks indicates that preparations for the transaction have progressed substantially, although it does not guarantee that the proposed IPO will launch on the currently discussed timetable.

HCCB Has a Large Indian Distribution Network

The scale of HCCB’s operations is one of the main reasons the potential IPO is attracting attention.

The company operates bottling facilities across multiple Indian states and distributes a wide range of Coca-Cola products. Its portfolio includes some of India’s best-known carbonated soft drinks as well as other beverage categories.

Reuters reported that HCCB’s operations generated approximately ₹50 billion in sales during 2024–25, Coca-Cola’s highest reported India sales level since at least 2021.

The bottling business is therefore positioned directly within India’s large and growing non-alcoholic beverage market.

For public-market investors, the attraction would be the combination of an established consumer brand ecosystem, nationwide distribution and exposure to India’s expanding beverage consumption.

India’s Consumer Market Is a Major Reason Behind the IPO

India has become an increasingly important growth market for Coca-Cola.

The company sells both international brands and locally important products in India, including Coca-Cola, Sprite, Fanta, Thums Up and Maaza.

The potential IPO comes at a time when India’s consumer market is attracting increasing attention from multinational companies. Strong domestic capital-market valuations have encouraged several global companies to consider Indian listings rather than relying exclusively on their home markets.

Reuters noted that multinational companies including Hyundai Motor and LG Electronics have also pursued or considered Indian IPOs, highlighting the growing importance of India’s public-equity market for global companies.

IPO Could Unlock Value From Coca-Cola’s Indian Bottling Operations

A public listing would give investors a separate market valuation for Coca-Cola’s Indian bottling business.

At present, HCCH forms part of Coca-Cola’s broader corporate structure. A separate listing could allow investors to assess the bottling operation independently based on its revenue, profitability, assets, distribution network and future growth prospects.

The potential $10 billion valuation being discussed would therefore provide a public-market reference point for the value of one of Coca-Cola’s major Indian operating businesses.

However, the eventual valuation could be different from current reports because the final IPO price will depend on financial performance, investor demand, market conditions and regulatory disclosures.

Competition Is Increasing in India’s Beverage Market

The proposed listing also comes as competition in India’s soft-drinks market continues to evolve.

Coca-Cola faces competition from PepsiCo as well as newer Indian beverage strategies. Reliance Industries has also expanded the presence of its Campa Cola brand, increasing competition in the mass-market carbonated beverage segment.

Reuters specifically highlighted Campa Cola as an emerging competitor to Coca-Cola in India.

For HCCB, maintaining distribution strength and brand demand will therefore remain important as India’s beverage market becomes more competitive.

What Investors Should Watch Before the IPO

Because the IPO is still in preparation, investors should wait for the formal draft prospectus before making conclusions about valuation or potential listing performance.

The key information to watch will include:

  • Final IPO size
  • Price band
  • Number of shares offered
  • Offer-for-sale versus fresh-issue structure
  • Coca-Cola’s post-IPO stake
  • Jubilant Bhartia Group’s stake
  • Revenue and profit growth
  • Debt levels
  • Bottling capacity
  • Distribution network
  • Use of IPO proceeds
  • Valuation compared with listed beverage and consumer companies

The most important distinction is that the currently reported $1 billion issue size and $10 billion valuation are preliminary figures, not final IPO terms. Bloomberg’s latest report explicitly notes that the discussions remain ongoing and that timing, valuation and structure could change.

December Filing Could Be the Next Major Milestone

If Coca-Cola proceeds with the current plan, December 2026 could become an important milestone, as Bloomberg reports that the company is considering filing its draft prospectus around that time.

A DRHP filing would provide investors with substantially more information about HCCB, including detailed financial statements, business risks, ownership structure and the proposed offer.

The actual IPO and listing would then follow the regulatory process and would remain dependent on approvals and market conditions.

Coca-Cola’s official announcement currently points to a 2027 listing, but does not specify an exact month or final issue size.

One of India’s Most Anticipated Consumer IPOs

The potential $1 billion Coca-Cola India IPO is shaping up to be a major event in India’s primary market. With a reported valuation target of around $10 billion, a nationwide bottling network and some of the country’s most recognised beverage brands, Hindustan Coca-Cola Holdings could attract significant attention when it eventually enters the public markets.

The story is also about more than a single IPO. Coca-Cola’s proposed listing reflects the changing structure of multinational businesses in India, where global companies are increasingly using the country’s deep equity markets to unlock value from established local operations.

For now, the most important upcoming development is the potential December 2026 draft filing. Until the prospectus is filed, investors should treat the reported $1 billion fundraising target and $10 billion valuation as preliminary. If the plans proceed, however, the 2027 listing could become one of the biggest consumer and bottling IPOs in India’s recent market history.
